SAN FRANCISCO (May 8, 2012) – Levi Strauss & Co. today announced that it has closed its private placement of $385.0 million aggregate principal amount 6⅞% Senior Notes due 2022.
The company also announced today that it has accepted for purchase approximately $278.2 million (or approximately 79.5%) of its $350.0 million aggregate principal amount of 8⅞% Senior Notes due 2016 (the “Notes”), which were validly tendered on or prior to the early tender deadline of 5:00 p.m., New York City time, on May 7, 2012. The company and the trustee for the Notes have executed a supplemental indenture to the indenture governing the Notes that eliminates or makes less restrictive substantially all of the restrictive provisions of the indenture. The tender offer will remain open to holders until 12:00 midnight, New York City time, on May 21, 2012, unless extended or earlier terminated by the company. Holders who tender Notes after 5:00 p.m., New York City time, on May 7, 2012 and prior to the expiration of the tender offer will receive $1,003.33 per $1,000 principal amount of Notes.
